1. Agreement to terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "member") and Wisdohm Strategica SRL ("we," "us," "Menquilibrium," or "the Company"), governing your access to and use of:

• The Menquilibrium website at menquilibrium.com and its subdomains
• The Menquilibrium mobile application (iOS and Android)
• The Virtus newsletter and related email communications
• Circle sessions, community features, and any related services

By accessing or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you must not use our services.

2. The company

Menquilibrium is operated by:

Menquilibrium is part of the Wisdohm ecosystem. These Terms apply specifically to Menquilibrium services. Additional products within the ecosystem will be governed by their own terms when applicable.

3. Eligibility

To use Menquilibrium, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete information during registration
• Agree to and uphold our Code of Respect

Menquilibrium is designed for individuals who identify as men. Participation is open to anyone who identifies as a man and shares the values outlined in our Code of Respect.

4. Your account

4.1 Registration

To access the mobile app and circle sessions, you must create an account by providing your name, email address, and completing a psychological compatibility questionnaire. You agree that all information you provide is accurate, current, and complete, and that you will update it as necessary.

4.2 Account security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 One account per person

Each person may maintain only one Menquilibrium account. Creating multiple accounts may result in the suspension or termination of all associated accounts.

5. Description of services

5.1 Circle sessions

Menquilibrium provides structured weekly audio sessions in small groups of 5–7 members ("circles"). Members are matched using a proprietary psychological compatibility algorithm. Sessions follow a facilitated structure managed through the app, with an optional Circle Champion role that any member may take on.

5.2 The newsletter

The Virtus newsletter is a free weekly publication delivered by email. By subscribing, you consent to receiving regular communications from us. You may unsubscribe at any time using the link provided in every email.

5.3 Service availability

We aim to provide uninterrupted access to our services but do not guarantee that the website, app, or any features will be available at all times. We reserve the right to modify, suspend, or discontinue any part of our services — temporarily or permanently — with or without notice. We will make reasonable efforts to notify members of significant changes in advance.

6. Community standards & Code of Respect

All members agree to abide by the Menquilibrium Code of Respect, which forms an integral part of these Terms. The Code requires members to:

• Speak with honesty
• Listen without judgment
• Protect others' privacy and confidentiality
• Refrain from harassment, hate, or discrimination of any kind

6.1 Prohibited conduct

In addition to violating the Code of Respect, you agree not to:

• Use the platform to solicit, sell, recruit, or promote products, services, or causes
• Impersonate any person or misrepresent your identity or affiliation
• Harass, threaten, intimidate, or bully any member
• Upload or transmit viruses, malware, or any harmful code
• Attempt to gain unauthorised access to other accounts, systems, or data
• Use the platform in any way that violates applicable law or regulation
• Scrape, crawl, or use automated tools to extract data from our website or app

6.2 Enforcement

We reserve the right to investigate and take appropriate action in response to violations of these Terms or the Code of Respect, including but not limited to: issuing warnings, temporarily suspending access, permanently removing a member from a circle, or terminating an account. In cases of serious misconduct, action may be taken without prior warning.

7. Subscriptions & payments

7.1 Paid services

Certain features of Menquilibrium require a paid subscription. Pricing, billing frequency, and included features will be clearly communicated before purchase. All prices are displayed inclusive of applicable taxes unless otherwise stated.

7.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your chosen plan) through Apple App Store, Google Play Store, or our designated payment processor. By subscribing, you authorise recurring charges to your selected payment method.

7.3 Free trials and promotions

We may offer free trial periods or promotional access (such as the Early Access Champion programme). The terms of any promotion will be communicated at the time of offer. Unless otherwise stated, access reverts to the standard paid plan at the end of the promotional period.

7.4 Cancellation

You may cancel your subscription at any time through your app store account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods.

7.5 Refunds

Refund policies are governed by the applicable app store (Apple or Google) through which you subscribed. For subscriptions purchased directly through our website, we offer a 14-day cooling-off period in accordance with EU consumer protection regulations, during which you may request a full refund. This right does not apply if you have fully used the service during the cooling-off period.

7.6 Price changes

We reserve the right to change subscription prices. Existing subscribers will be given at least 30 days' advance notice of any price increase. Continued use after the price change takes effect constitutes acceptance of the new pricing.

8. Intellectual property

8.1 Our content

All content on the Menquilibrium website, app, and newsletter — including text, graphics, logos, trademarks, the "Menquilibrium" and "Virtus" names, session structures, matching algorithms, and software — is the property of Wisdohm Strategica SRL or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without prior written permission.

8.2 Your content

You retain ownership of any content you create or share through our services (such as session feedback or profile information). By using our services, you grant us a limited, non-exclusive, royalty-free licence to use this content solely for the purpose of operating, improving, and providing our services. We will never sell your content or use it for advertising.

8.3 Feedback

If you voluntarily provide suggestions, ideas, or feedback about our services, you grant us the right to use such feedback without restriction or compensation. This does not apply to personal stories or content shared within circle sessions, which remain strictly confidential.

9. Disclaimers

9.1 Not a health service

9.2 No guarantees

Our services are provided "as is" and "as available," without warranties of any kind — express or implied — including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that:

• The services will meet your specific expectations or requirements
• The services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the services will be accurate or reliable
• Any circle match will be compatible or satisfying

9.3 Third-party content

Our services may contain links to third-party websites, resources, or services. We do not endorse, control, or assume responsibility for any third-party content. Your interactions with third parties are solely between you and them.

10. Limitation of liability

To the fullest extent permitted by applicable law, Wisdohm Strategica SRL, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or other intangible losses — arising from:

• Your use of, or inability to use, our services
• Any conduct or content of other members within circle sessions
• Unauthorised access to or alteration of your data
• Any other matter relating to our services

Our total aggregate liability for all claims arising from or related to these Terms or our services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including mandatory EU consumer protection rights.

11. Indemnification

You agree to indemnify and hold harmless Wisdohm Strategica SRL and its directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms or the Code of Respect
• Your breach of another member's confidentiality
• Your violation of any applicable law or regulation
• Any content you submit or share through our services

12. Termination

12.1 By you

You may terminate your account at any time by contacting us or using the account deletion feature in the app. Upon termination, your access to circle sessions and app features will cease. Data deletion will follow the timelines outlined in our Privacy Policy.

12.2 By us

We may suspend or terminate your account at any time if you breach these Terms, the Code of Respect, or if we reasonably believe continued access poses a risk to other members or to our community. Where possible, we will provide notice and an opportunity to address the issue before termination, except in cases of serious misconduct.

12.3 Effect of termination

Upon termination, sections of these Terms that by their nature should survive will continue to apply, including but not limited to: intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the app at least 30 days before the changes take effect.

Your continued use of our services after the updated Terms take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using our services and may terminate your account.

14. Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or our services shall be submitted to the exclusive jurisdiction of the competent courts in Cluj-Napoca, Romania, unless otherwise required by applicable EU consumer protection law — in which case you may bring proceedings in your country of residence.

If you are a consumer residing in the European Union, you also have the right to submit a complaint through the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

15. General provisions

15.1 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

15.2 Entire agreement

These Terms, together with the Privacy Policy and the Code of Respect, constitute the entire agreement between you and Wisdohm Strategica SRL regarding your use of our services, and supersede all prior agreements, communications, and understandings.

15.3 No waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver of any term will only be effective if in writing and signed by us.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
